JumpTask User Agreement

This JumpTask user agreement (“Agreement”) governs the legal relationship between Hiville, UAB (“JumpTask”, “us”, “our”, or “we”) and the person (“you”, “your”, or “user”) using the JumpTask platform (“Platform”) to receive payouts for completing various tasks within the Platform.

You agree to the terms of the Agreement by signing up on the Platform via email or social login as described in Section 3 of the Agreement. The terms of this Agreement will always be presented to you before or during your signing up to the Platform and you will be required to accept the Agreement in order to access the Platform. By signing up and accessing the Platform, you express and confirm your acceptance to be legally bound by the terms of the Agreement.

If you do not agree to abide by any of the terms of the Agreement, you should refrain from using the Platform.

Platform. JumpTask’s sole and only purpose is allowing you to complete tasks for earnings within the Platform and receive payouts from us for earnings gained for completing such tasks (“Payouts”). When you complete a task via the Platform, we resell it to our partners.

Please note that in using the JumpTask Platform, you may be provided opportunities to access and use applications, surveys or tasks provided by third parties to receive earnings. Any access or use of such third-party applications, surveys or tasks shall be done at your own sole discretion and risk.

JumpTask shall not in any way be responsible or liable for their availability, accuracy, content, requested permissions, products or any results to be obtained from such access or use. JumpTask also does not guarantee that the access or use of such applications, surveys or tasks will always result in you receiving earnings described in a related offering within the Platform (including, but not limited to where permissions for the third-party application need to be granted by your device).

Accordingly, we advise you to get acquainted with any terms that may be applicable to your access or use of such third-party applications or surveys.

Signing up. To start using the Platform, you must first create an account by signing up using your email address or a supported social login and confirm your identity using multi-factor authentication (2FA).

Security. You are responsible for keeping your Platform account information secure. The security of your account name (your email or social login identity), password, as well any activity occurring within your Platform account is your own sole responsibility. JumpTask cannot and will not be responsible for any losses or damages resulting out of unauthorized access to or activities happening from your Platform account.

Eligibility and Age. You must be at least 18 years old to create an account and use the Platform. By signing up, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this Agreement. The Platform is not directed at, and may not be used by, persons under 18. If we become aware, or have reasonable grounds to believe, that a user is under 18, we may suspend or close the account and withhold or reverse any Payout, in accordance with applicable law.

Should you become aware of any unauthorized use of or access of the Platform via your account, you shall promptly notify us.

Balance. The amount of earnings in your Platform account will be displayed within the Platform  in credits (where 1,000 credits equal 1 US dollar) with the equivalent value in US dollars shown alongside.

Your credits balance represents the value you have earned and may withdraw, subject to the minimum Payout threshold set out below. Before you request a Payout, you hold the right to the value of your earnings as displayed in your Platform account. Once you request a Payout, we will process a Payout equal to the value you have selected, as described in the Payout section below.

Invitations. You may invite third parties to use Jumptask and accumulate additional credits by receiving a percentage of such invited third party’s collected balance. Any additional amounts due to invitations shall be displayed on the Jumptask Platform. All terms about additional accumulations due to third party invitations can be found on the Jumptask Platform.

Payout.  Once you earn the minimum Payout amount of 0.50 US dollars (500 credits), you will be able to request a Payout up to the value of your earnings within the Platform. When withdrawing your earnings, you will be redirected to a secure, partner-hosted claim page, where you will be able to select your preferred payout method (gift cards, digital wallet top-up, or crypto via third party payment provider) and finalize your Payout.

Third-party payout providers. Payouts are processed through third-party providers, and the available payout methods (gift cards, digital wallet top-up, and crypto) are provided by those third parties, not by JumpTask. Your use of a payout method may be subject to the relevant third-party provider's own terms and conditions. You acknowledge and accept that:

To the extent permitted by law, JumpTask is not liable for any delay, restriction, failure, or loss arising from the acts, omissions, systems, or decisions of third-party payout providers.

Identity Verification. Prior to processing any payout, Jumptask may require the User to verify their identity for fraud prevention, risk management, security, and compliance reasons. The User shall cooperate with any such verification request, and failure or refusal to complete it to Jumptask's reasonable satisfaction, or if the information provided by the User cannot be verified, Jumptask reserves the right to withhold, suspend, or delay the relevant payout until verification is satisfactorily completed, without liability for any resulting delay.

Prohibited Uses. You may only use the Platform in accordance with the terms set out in this Agreement as well as any applicable laws or regulations. By using the Platform, you explicitly agree to refrain from engaging in any of the following activities:

If we believe that you may have engaged in any of the activities established above, we reserve the right to, in our sole discretion, immediately suspend or permanently close your Platform account as well as take any other remedies we might deem necessary in order to protect our rights.

Our Relationship, Taxes and Permits. This Agreement does not create an employment, partnership, agency, joint venture or any other exclusive relationship between JumpTask and you and you agree to not consider, act as or by any means present yourself as an employee, agent, worker or representative of JumpTask. Accordingly, neither JumpTask nor you shall be authorized to enter into any agreements or otherwise legally bind or incur obligations or liabilities on each other’s behalf.

Further, any taxes or costs on your use of the Platform shall be borne by you. It is solely your responsibility to ensure that any taxes that may be applicable to the transactions made using the Platform (e.g. Payouts received by you via the Platform, the tasks you may complete using the Platform and your use of the Platform in general) will be collected, reported and remitted to the appropriate tax authorities, as well as with compliance with any applicable tax laws.

JumpTask will not be responsible for any calculation, collection, reporting, remittance or payments regarding any taxes.

It is also your responsibility to ensure that you have any and all permits, licenses, reports or any other documents that may be required from you in order for you to be able to participate in the transactions via the Platform such as receiving Payouts, completing tasks using the Platform or otherwise using the Platform.

Term. This Agreement is effective from the moment you first access or use the Platform and continues until its termination by you or us.

Termination by us. We may terminate this Agreement and suspend or delete your Platform account at any time in our sole discretion. We may do if 1) we have grounds to believe that you are acting in breach of any applicable laws, including but not limited to fraudulent actions; 2) you have acted in breach of the Agreement; 3) for any other reason should we reasonably believe that your actions may damage our infrastructure or reputation; or 4) we are instructed to do so by competent authorities.

If we terminate the Agreement we may (if we do not in our sole discretion decide otherwise due to applicable laws, or in cases where such termination is the cause of your fraudulent actions or other actions harmful or potentially harmful to us or any third parties) Payout the value of the credits within your Platform account.

Inactivity. If you do not use your Platform account by performing any activities within the Platform for more than six (6) months, your Platform account may expire and be cleared. Meaning that all the remaining credits you have within your Platform account will be deemed invalid and expired. The Platform account shall be deemed unused if JumpTask’s infrastructure does not register a log in event by the user in the past 6 months.

Should you access any of our Confidential Information while accessing or using the Platform, you agree to not save or store it in any shape or form as well as not to disclose it to any third parties.

Confidential Information shall mean any non-public, business-related, written or verbal information of JumpTask (whether or not marked as confidential) and available to you in relation to your use of the Platform (whether directly or indirectly).

JumpTask’s Intellectual Property. JumpTask grants you a at any time revocable, non-exclusive, non-sublicensable, non-transferable, royalty-free limited license to access and use the Platform in accordance with the terms of this Agreement.

You acknowledge and agree that the “JumpTask” name, the Platform, all logos related to JumpTask or the Platform, our website as well as any JumpTask’s accompanying materials, systems, programs, processes, texts, designs, trademarks or other objects (“Intellectual Property”) are owned by JumpTask and its licensors and protected under Intellectual Property laws and regulations. You may not copy, imitate, modify or use them without JumpTask’s prior written consent. You also agree not to register trademarks, trade names, logos, company names or similar objects containing, fully or partly incorporating the name JumpTask or it’s modifications for activities related to: crypto currency, software; internet/communication, proxy services, data collection and similar goods and services. The Agreement does not convey to you any right to or interest to JumpTask’s Intellectual property and nothing contained in the Agreement or otherwise constitutes a waiver of JumpTask’s Intellectual property rights under any applicable law.

JumpTask reserves all rights to the Intellectual property not expressly granted to you via the Agreement.

Feedback. Should you provide to us any suggestions, Platform improvement requests, recommendations, data, statistics or other information regarding the Platform (“Feedback”), you assign all rights, title and interest to such Feedback to JumpTask. All such Feedback shall be deemed to be JumpTask’s Confidential Information.

THE SERVICES PROVIDED UNDER THE PLATFORM ARE PROVIDED ON AN AS-IS BASIS. JUMPTASK DOES NOT PROVIDE ANY REPRESENTATIONS, WARRANTIES OR UNDERTAKINGS OF ANY KIND (EITHER EXPRESS OR IMPLIED) IN RELATION TO THE PLATFORM OR ANY RESULT TO BE OBTAINED FROM THE USE OF THE PLATFORM. THIS INCLUDES, BUT ISN’T LIMITED TO, WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, SATISFACTORY QUALITY OR FITNESS FOR A PARTICULAR PURPOSE, WHICH ARE, TO THE FULLEST EXTENT PERMITTED BY LAW.

LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU ACKNOWLEDGE AND AGREE THAT JUMPTASK WON’T BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE PLATFORM OR ITS USE AND THAT YOU ASSUME FULL RESPONSIBILITY FOR ANY LOSS THAT RESULTS FROM YOUR USE OF THE PLATFORM;

IN ANY CASE, OUR TOTAL LIABILITY TO YOU ARISING UNDER OR IN CONNECTION WITH THE PLATFORM IN ANY WAY (WHETHER IN CONTRACT, TORT OR OTHERWISE) SHALL BE LIMITED TO WHICHEVER IS LESSER OF 1.000 USD OR TO THE MINIMUM EXTENT ALLOWED BY THE APPLICABLE LAW.

Amending the Agreement. We may amend this Agreement from time to time. Where we make a material change, we will give you at least 14 days' notice before it takes effect by notice on the Platform. The updated Agreement will be posted on our website with the date it takes effect.

If you do not agree to a change, you should close your account before it takes effect and cease using the Platform. If you continue using the Platform after the change takes effect, the updated Agreement applies to you.

We may make changes that do not materially affect your rights (such as corrections, clarifications, new features, or changes required by law) with immediate effect, and will post the updated Agreement on our website.

Applicable Law and Jurisdiction. The Agreement shall be construed and interpreted in accordance with the laws of Republic of Lithuania.

Any disputes related to the Agreement or the Platform shall be settled in good faith negotiations between the parties. In case of a failure of such settlement, any dispute shall be brought up in and settled by the courts of Republic of Lithuania and both you and JumpTask hereby consent to the exclusive jurisdiction of these courts.

Assignment. You may not assign any of your rights under the Agreement to anyone else. JumpTask may assign any of our rights under the Agreement to any other third party at our sole discretion.

Force Majeure. JumpTask will not be liable to you in any way for any failure of providing access to or any other ability to use the Platform related to any cause beyond our reasonable control, including, but not limited to acts of god, embargoes, war, terrorist acts, riots, fires, earthquakes, nuclear accidents, floods, strikes, power blackout and acts or omissions of third-party service providers as well any malicious third-party actors.

Severability. If any section of the Agreement or any part of any such section is found to be not enforceable by a competent authority, such section shall be not applied to the least extended possible or required, and the rest of the wording of any such section as well as the Agreement shall still be valid.

Survival. The following sections shall continue to apply in full force and effect even after any expiration or termination of the Agreement between you and JumpTask: Section 6 (Confidential Information), Section 7 (Intellectual Property), Section 8 (Warranty Disclaimer), Section 9 (Limitation of Liability) and any other provision necessary to fulfill the Agreement’s purpose.
